1. Acceptance of Terms

By visiting our website, requesting a quote, or placing an order with The Surprise Box (referred to as “we,” “us,” or “our”), accessible via thesurprisebox.in, you agree to be bound by these Terms & Conditions. These terms apply to all clients, visitors, corporate buyers, and users of our services.

2. Quotations, Pricing & Payment Terms

To ensure smooth processing and fulfillment of bulk corporate orders, the following pricing and payment terms apply:

Quotations: All custom quotes provided via email, website form, or WhatsApp are valid for 15 calendar days from the date of issuance unless explicitly stated otherwise.
Taxes: All product pricing and service quotes are subject to applicable Goods and Services Tax (GST) as per statutory Indian tax regulations.
Payment Terms: For bulk and customized corporate orders, a minimum advance payment (typically 50% to 100%, as specified in your proforma invoice) is required to initiate procurement and production. Final remaining balances must be cleared prior to dispatch.
Payment Processing: Orders will only enter the processing stage upon receipt and verification of funds via authorized electronic payment methods (NEFT/RTGS, UPI, or Credit/Debit Card).

3. Customization, Artwork & Proofing

For customized corporate merchandise, welcome kits, and branded apparel, the following production rules apply:

Mockup Approval: Digital proofs will be sent for your review prior to printing. Production begins only after receiving written sign-off (via email or WhatsApp) on the artwork design, layout, and colors.
Client Responsibility: You are solely responsible for verifying spelling, logo placement, dimensions, and color fidelity in approved proofs. The Surprise Box is not liable for errors present in client-approved mockups.
Intellectual Property Guarantee: By providing logos, trademarks, and artwork, you warrant that you possess full ownership or authorization to use those brand assets. You agree to indemnify and hold harmless The Surprise Box against any third-party copyright or trademark infringement claims resulting from your customized designs.

4. Order Cancellation & Modifications

Order modifications and cancellations are subject to the following conditions:

Custom & Bulk Orders: Once artwork proofing is approved and physical production, printing, or sourcing has commenced, custom orders cannot be canceled or modified. Any advance deposit paid becomes non-refundable.
Standard Inventory: Orders for non-customized, ready-stock gift sets may be canceled within 24 hours of placement, provided the package has not yet been handed over to courier partners.

5. Shipping, Logistics & Recipient Data

We coordinate with logistics networks to execute Pan-India deliveries:

Pan-India Delivery: Deliveries are fulfilled through verified third-party courier and logistics partners. Estimated delivery timelines provided during order booking are indicative and subject to regional courier operations, weather disruptions, or unforeseen logistics delays.
Recipient Address Accuracy: For multi-location or bulk employee gifting, clients must ensure all recipient addresses, pincodes, and phone numbers in the distribution sheet are accurate. Re-shipping costs arising from inaccurate details or refused deliveries will be billed to the client.
Passage of Risk: Risk of loss or damage to goods transfers to the client or recipient upon successful handover to the logistics partner.

6. Returns, Replacements & Transit Damage

Due to the personalized nature of corporate gifting, our return policies are structured as follows:

Customized Goods: Custom-branded merchandise, personalized hampers, food items/confectionery, and personal care products are strictly non-returnable and non-refundable.
Damaged or Defective Items: If items arrive damaged during transit or contain manufacturing defects, the issue must be reported within 48 hours of delivery to sales@thesurprisebox.in along with unboxing photographs or video proof. Verified claims will be eligible for replacement or credit notes at our discretion.

7. Limitation of Liability & Governing Law

Legal parameters governing business transactions with The Surprise Box:

Liability Cap: To the fullest extent permitted by Indian law, The Surprise Box shall not be liable for any indirect, incidental, or consequential damages resulting from delivery delays, supply chain disruptions, or product misuse. Our maximum financial liability shall not exceed the total order value paid by the client.
Jurisdiction: These terms are governed by and construed in accordance with the laws of India. Any legal disputes or claims shall be subject to the exclusive jurisdiction of the competent courts in Delhi NCR, India.
